EWE restructures Group

Energy business to have its own company from 1 July


Oldenburg, Germany, 24 June 2010. The structure of the Oldenburg-based energy provider EWE is set to change as of 1 July. The Group's energy business will have its own company, EWE ENERGIE AG, which will be headquartered in Oldenburg and will be responsible for the sale of energy and energy services in Lower Saxony, Brandenburg, northern West Pomerania and on the island of Rügen. The new company will also be in charge of EWE's activities in the areas of renewable energies and gas storage. The reasons behind the company spin-off are the growth of the Group in recent years and requirements from the political arena. Explaining the move, Dr. Werner Brinker, Chief Executive Officer of EWE AG, commented, "EWE has always been the number one point of contact for energy needs in the region and this should continue to be the case, even as our company grows."

EWE AG, which up until now has managed the Group's functional divisions and operational activities in the area of energy, will in future act as a holding company and thus focus on managing EWE's subsidiaries and their activities within the Group. Along with Dr. Brinker as CEO, the Group's Board of Management includes Heiko Harms, Dr. Thomas Neuber and Michael Wagener. In addition to their current roles on the Board of Management, Dr. Neuber and Mr. Harms will take on new responsibilities in EWE ENERGIE AG. There they will be supported by the new boardmember Dr. Heiko Sanders, previously Head of Group Controlling at EWE AG.

The restructuring will have little impact on EWE's customers, however. The only change will be their contractual partner. Instead of EWE AG, this will now be EWE ENERGIE AG. All contact persons, contact details and sales locations will remain the same. The company's external identity will also continue as before. EWE AG and EWE ENERGIE AG will appear under the same brand and with the same logo. All existing contracts with customers will automatically be transferred to the new company as it is the legal successor of EWE AG.

The fact that both companies will appear under a common brand is due to a decision to switch the Group's telecommunications brand to EWE as well. The aim is to combine EWE's products under one strong brand.
